Terms of Service
Last updated: 18 October 2026
GrownCo Media (“GrownCo”, “we”, “us”, “our”) is a business registered in India (GSTIN 24GAXPP1055B1ZM) with its office at A-504, The Crown, Opp. Kalhar Bungalows, Gangotri Circle, Nikol, Ahmedabad 382350, Gujarat, India. You can reach us at info@growncomedia.com.
These Terms of Service (“Terms”) apply when you use our website and when you buy services from us. Please read them carefully. By using the website, accepting a quote, paying an invoice or sending us project materials, you agree to these Terms. If you are agreeing for a company, you confirm that you have authority to bind that company.
If a signed proposal, quote, statement of work or agreement with you (a “Proposal”) says something different from these Terms, the Proposal wins for that project.
1. Using our website
- The website is for general information about GrownCo Media and our services. Prices, examples and timelines shown on it are indicative and can change.
- You must not misuse the website: no hacking, overloading, scraping in bulk, introducing malware, sending spam through our forms, or copying our content or portfolio for your own use.
- Work shown in our portfolio belongs to us or to our clients and is shown with permission. You may not download, reuse or republish it without our written consent.
2. Our services
We provide creative and production services, including AI UGC ads, AI product commercials, AI avatar and clone videos, motion graphics, video editing, social media management, performance creative and AI content automation. The exact deliverables, number of videos, formats, timelines, revision rounds and price for each project are set out in your Proposal. Anything not listed in the Proposal is outside its scope.
Quotes are valid for 15 days unless stated otherwise.
3. Your responsibilities
- Accurate brief and timely feedback. Give us complete information and reply to drafts within the agreed time. Delays on your side move the delivery dates.
- Rights to your materials. You confirm that you own or have permission to use everything you send us (logos, product images, footage, music, scripts, people’s photos or voices) and that our use of it for your project will not infringe anyone’s rights.
- Claims in your ads. You are responsible for the truth of every claim about your product, price, offer, results or health, financial or other benefits that appears in your content, and for having proof of those claims. Your ads must follow the Consumer Protection Act, 2019, the guidelines on misleading advertisements, the ASCI Code and the rules of each platform you advertise on. We may refuse to include a claim we believe is misleading or unlawful.
- Final approval. You are responsible for reviewing and approving content before you publish it, including checking spellings, prices and legal text.
- How you use the content. You must use the content lawfully, including any AI-disclosure labels required by law or by the platform.
4. Fees, invoices and taxes
- Prices are in Indian Rupees (INR) unless the Proposal states another currency. GST is added where applicable.
- Unless the Proposal says otherwise, we ask for a 50% advance to book your project and the balance before we deliver the final, unwatermarked files. Monthly retainers are billed in advance at the start of each month.
- Invoices are due within 7 days. If a payment is late, we may pause work, hold deliveries, and charge interest at 1.5% per month on the overdue amount.
- Bank charges, payment-gateway fees and currency-conversion costs on international payments are paid by the client.
5. Timelines
Timelines start when we have received the advance payment and all the materials we need. Estimated delivery dates are given in good faith; we will tell you promptly if something might delay your project. Rush delivery may cost extra.
6. Revisions and approvals
- Your Proposal says how many revision rounds are included (usually two per video). A revision round is one consolidated list of changes to a draft.
- Changes to an approved script, concept, voice, avatar or style, or new requests outside the scope, are charged extra and we will quote them before doing the work.
- If we don’t receive feedback within 7 days of sending a draft, the draft is treated as approved, and if we don’t hear from you for 30 days the project may be closed and the remaining balance becomes due.
7. Ownership and usage rights
- Your materials stay yours. You keep all rights in the materials you give us.
- Final deliverables. When your invoice is paid in full, you receive a non-exclusive, worldwide, perpetual right to use, publish, advertise with and adapt the final delivered videos and images for your own brand and business, unless the Proposal states a different scope. Until full payment, all rights remain with us.
- Our tools and know-how. We keep ownership of our working files, project files, prompts, scripts not delivered, unused drafts and footage, templates, presets, workflows and methods. Editable source files are not included unless the Proposal says so.
- Third-party assets. Stock footage, music, fonts, sound effects and AI platforms used in your project are licensed under their own terms. We tell you about any limits, for example music licensed for social media but not for TV.
- AI-generated content. The law on copyright in AI-generated material is still developing in India and elsewhere, and parts of AI-generated content may not be protected by copyright. Because AI tools generate content from prompts, someone else may be able to create similar (but not identical) visuals. We therefore cannot guarantee exclusivity or copyright registration for purely AI-generated elements.
8. Portfolio and credits
We may show the work we made for you in our portfolio, website, social media and pitches once it has been published, unless you ask us not to in writing or we have signed a confidentiality agreement. White-label work for agencies is never credited publicly without permission.
9. AI avatars, clones and likeness
Projects that recreate a real person’s face or voice need that person’s written consent and follow our AI Content, Likeness & Consent Policy, which forms part of these Terms. We may refuse or stop any project that we believe misuses AI or a person’s likeness.
10. Confidentiality
We keep your unpublished products, plans, materials and business information confidential and only share them with team members and freelancers who need them for your project and are bound by confidentiality. This does not apply to information that is already public or that the law requires us to disclose.
11. No guarantee of results
We work hard to make content that performs, but advertising results depend on many things outside our control, such as your product, price, offer, targeting, budget, platform algorithms and the market. We do not guarantee any specific views, engagement, leads, sales, return on ad spend or approval by an advertising platform.
12. Limitation of liability
To the maximum extent the law allows: our total liability to you for any claim related to a project is limited to the fees you actually paid us for that project; and we are not liable for indirect or consequential losses, such as loss of profit, revenue, data, goodwill or ad spend, or for losses caused by platform decisions, your own materials or claims, or your use of the content. Nothing in these Terms limits liability that cannot be limited by law.
13. Indemnity
You agree to compensate us for any loss, claim or legal cost we face because of the materials or instructions you gave us, the claims made in your content, a breach of these Terms by you, or the way you publish or use the content.
14. Cancellation and refunds
Cancellations and refunds are covered by our Refund & Cancellation Policy, which forms part of these Terms. Either party may end a project or retainer if the other seriously breaches these Terms and does not fix the breach within 15 days of written notice. Sections that by their nature should continue (such as payment, ownership, confidentiality, liability and indemnity) survive the end of a project.
15. Events outside our control
Neither party is responsible for delays caused by events outside its reasonable control, such as natural disasters, power or internet outages, outages of AI or software platforms, government action or illness. We will keep you informed and agree new dates.
16. Governing law and disputes
These Terms are governed by the laws of India. If a dispute arises, we will first try to resolve it in good faith by talking for at least 30 days. If it can’t be resolved, the courts in Ahmedabad, Gujarat have exclusive jurisdiction.
17. Changes to these Terms
We may update these Terms from time to time. The version that applies to a project is the one in force on the date you accepted the Proposal. The latest version is always on this page.
